REGISTRATION OF FOREIGN COMPANY
“A foreign company is any company or body corporate incorporated outside India which—
a) Has a place of business in India whether by itself or through an agent, physically or through electronic mode; and
b) Conducts any business activity in India in any other manner."
• Documents required- ID Proof (PAN Card, Aadhaar Card), Address proof (Latest utility bills which are not older than 2 months), Photo ID Proof,. For foreign nationals Passport is mandatory.
• DIN Application & Digital Signature- After verifying above documents, application is made for DIN and Digital Signature.
• Name Application- Application for name of the company is made through e- form.
• Drafting of MOA and AOA- MOA and AOA is drafted and subscription is made by the shareholders.
• Filing of other E- FORMS- E-Forms are filed for the incorporation of company, appointment of directors, along with MOA and AOA.
• Payment of Stamp Duty and ROC Fees- The stamp duty and fees of ROC is to be paid.
• Certificate of Incorporation- After this the certificate of commencement is issued by the ROC if it satisfied with the documents.
